Gene\u00adral terms and con\u00addi\u00adti\u00adons of Return Manage\u00adment GmbH
<\/strong><\/span><\/h5>\n

\u00a7 1 Scope<\/strong><\/span><\/p>\n

1. The\u00adse Gene\u00adral Con\u00adsul\u00adting Terms and Con\u00addi\u00adti\u00adons shall app\u00adly to assign\u00adments invol\u00adving the pro\u00advi\u00adsi\u00adon of advice and infor\u00adma\u00adti\u00adon by the Con\u00adtrac\u00adtor to the Cli\u00adent in the plan\u00adning, pre\u00adpa\u00adra\u00adti\u00adon and imple\u00admen\u00adta\u00adti\u00adon of busi\u00adness or pro\u00adfes\u00adsio\u00adnal decis\u00adi\u00adons and pro\u00adjects, par\u00adti\u00adcu\u00adlar\u00adly in the area of manage\u00adment con\u00adsul\u00adting.
2. The\u00adse Gene\u00adral Con\u00adsul\u00adting Terms and Con\u00addi\u00adti\u00adons (GTC) <\/span>app\u00adly exclu\u00adsi\u00adve\u00adly to entre\u00adpre\u00adneurs within the mea\u00adning of \u00a7 14 of the Ger\u00adman Civil Code (BGB), i.e. natu\u00adral or legal per\u00adsons who are a legal enti\u00adties acqui\u00adring goods or ser\u00advices for com\u00admer\u00adcial or pro\u00adfes\u00adsio\u00adnal use. They also app\u00adly to public law per\u00adsons and spe\u00adcial public law funds. 3. The Coun\u00adcil may request the Board of Direc\u00adtors to pro\u00adpo\u00adse a regu\u00adla\u00adti\u00adon of the Coun\u00adcil.
<\/span>3. the fol\u00adlo\u00adwing terms and con\u00addi\u00adti\u00adons app\u00adly exclu\u00adsi\u00adve\u00adly to the busi\u00adness rela\u00adti\u00adonship with our cli\u00adent, inclu\u00adding infor\u00adma\u00adti\u00adon and advice. The fol\u00adlo\u00adwing terms and con\u00addi\u00adti\u00adons (GTC) shall app\u00adly exclu\u00adsi\u00adve\u00adly.
<\/span>4. Dif\u00adfe\u00adring terms and con\u00addi\u00adti\u00adons of the cli\u00adent shall app\u00adly only if and inso\u00adfar as we express\u00adly ack\u00adnow\u00adledge them in wri\u00adting. In par\u00adti\u00adcu\u00adlar, our silence with respect to such devia\u00adting terms and con\u00addi\u00adti\u00adons does not con\u00adsti\u00adtu\u00adte accep\u00adtance or con\u00adsent, even in the case of future agree\u00adments. 5. It shall not be lia\u00adble for the con\u00adse\u00adquen\u00adces of such devia\u00adti\u00adon.
<\/span>5. Our Gene\u00adral Terms and Con\u00addi\u00adti\u00adons of Purcha\u00adse shall also app\u00adly in place of any gene\u00adral terms and con\u00addi\u00adti\u00adons of purcha\u00adse of the purcha\u00adser if, accor\u00adding to the\u00adse terms and con\u00addi\u00adti\u00adons, the accep\u00adtance of the order is dee\u00admed uncon\u00addi\u00adtio\u00adnal accep\u00adtance of the gene\u00adral terms and con\u00addi\u00adti\u00adons of purcha\u00adse, or if we deli\u00adver after we have been infor\u00admed by the purcha\u00adser of the vali\u00addi\u00adty of his gene\u00adral terms and con\u00addi\u00adti\u00adons of purcha\u00adse, unless we have express\u00adly wai\u00adved the vali\u00addi\u00adty of our gene\u00adral terms and con\u00addi\u00adti\u00adons. The exclu\u00adsi\u00adon of the customer\u2019s gene\u00adral terms and con\u00addi\u00adti\u00adons also appli\u00ades the gene\u00adral terms and con\u00addi\u00adti\u00adons of busi\u00adness do not con\u00adtain a sepa\u00adra\u00adte pro\u00advi\u00adsi\u00adon on indi\u00advi\u00addu\u00adal points.
<\/span>6. By accep\u00adting our order con\u00adfir\u00adma\u00adti\u00adon, the cus\u00adto\u00admer express\u00adly ack\u00adnow\u00adled\u00adges that he wai\u00adves his legal objec\u00adtion ari\u00adsing from the terms and con\u00addi\u00adti\u00adons of purcha\u00adse.
<\/span>7. If frame\u00adwork agree\u00adments or other con\u00adtracts, in par\u00adti\u00adcu\u00adlar con\u00adsul\u00adtancy agree\u00adments, have been con\u00adcluded with our with our cli\u00adent, the\u00adse shall take pre\u00adce\u00addence. They shall be sup\u00adple\u00admen\u00adted by the\u00adse GTC, unless they con\u00adtain more spe\u00adci\u00adfic provisions.<\/span><\/p>\n

\u00a7 2 Object of the con\u00adtract; scope of services.<\/strong><\/span><\/p>\n

1. The object of the con\u00adtract is the agreed con\u00adsul\u00adting acti\u00advi\u00adty spe\u00adci\u00adfied in the con\u00adsul\u00adting con\u00adtract, not the achie\u00adve\u00adment of a cer\u00adtain eco\u00adno\u00admic suc\u00adcess or the pre\u00adpa\u00adra\u00adti\u00adon of expert reports or other works.
2. At the client\u2019s request, we shall pro\u00advi\u00adde infor\u00adma\u00adti\u00adon on the sta\u00adte of exe\u00adcu\u00adti\u00adon of the assign\u00adment, respec\u00adtively accoun\u00adta\u00adble after the exe\u00adcu\u00adti\u00adon of the assign\u00adment by means of a writ\u00adten or tex\u00adtu\u00adal report that reflects the essen\u00adti\u00adal con\u00adtent of the cour\u00adse and the result of the con\u00adsul\u00adta\u00adti\u00adon. As exten\u00adsiv<\/span>ely writ\u00adten or tex\u00adtu\u00adal report, in par\u00adti\u00adcu\u00adlar for sub\u00admis\u00adsi\u00adon to third par\u00adties, <\/span>this should be agreed upon sepa\u00adra\u00adte\u00adly.
<\/span>3. Unless other\u00adwi\u00adse agreed, we may use sui\u00adta\u00adble sub\u00adcon\u00adtrac\u00adtors for the exe\u00adcu\u00adti\u00adon of the order, wher\u00adeby we shall always remain direct\u00adly bound to the cli\u00adent. We will use employees with the neces\u00adsa\u00adry spe\u00adcia\u00adlist know\u00adledge for the exe\u00adcu\u00adti\u00adon of the assign\u00adment. In all other respects, we will deci\u00adde at our own dis\u00adcre\u00adti\u00adon which employees we will use or replace.<\/span><\/p>\n

\u00a7 3 Chan\u00adges in per\u00adfor\u00admance; writ\u00adten form<\/strong><\/span><\/p>\n

1. If the cus\u00adto\u00admer wis\u00adhes to make chan\u00adges to the order, he must com\u00admu\u00adni\u00adca\u00adte them in wri\u00adting or in text form. We will then imme\u00addia\u00adte\u00adly eva\u00adlua\u00adte the effects of the chan\u00adge request on the struc\u00adtu\u00adre of the con\u00adtract and the available ser\u00advice capa\u00adci\u00adty and inform the cus\u00adto\u00admer in wri\u00adting or in text form.
2. We are only obli\u00adged to imple\u00adment the request for chan\u00adge if the cus\u00adto\u00admer agrees with us on a chan\u00adge to the con\u00adtract to that effect. The con\u00adsul\u00adting con\u00adtract with us to that effect, with regard to the scope of ser\u00advices, sche\u00addu\u00adle and and remu\u00adne\u00adra\u00adti\u00adon. Unless other\u00adwi\u00adse agreed, in this case we shall per\u00adform the work wit\u00adhout taking into account the client\u2019s requests for chan\u00adges, until the con\u00adtract is amen\u00added.
<\/span>3. If a com\u00adpre\u00adhen\u00adsi\u00adve exami\u00adna\u00adti\u00adon of the addi\u00adtio\u00adnal work (= more than 3 working hours) is neces\u00adsa\u00adry, we may request a sepa\u00adra\u00adte paid order for this.
<\/span>4. Chan\u00adges and addi\u00adti\u00adons to the order must be in wri\u00adting or in text form to be effec\u00adti\u00adve. The text form. \u00a7 305b of the Ger\u00adman Civil Code (prio\u00adri\u00adty of indi\u00advi\u00addu\u00adal agree\u00adments) remains unaffected.<\/span><\/p>\n

\u00a7 4 Con\u00adfi\u00adden\u00adtia\u00adli\u00adty; data protection<\/strong><\/span><\/p>\n

1. For the dura\u00adti\u00adon of the con\u00adtrac\u00adtu\u00adal rela\u00adti\u00adonship and for a peri\u00adod of 4 years the\u00adre\u00adaf\u00adter, we are obli\u00adged to keep con\u00adfi\u00adden\u00adti\u00adal all infor\u00adma\u00adti\u00adon or data pro\u00advi\u00added by the cus\u00adto\u00admer and desi\u00adgna\u00adted as con\u00adfi\u00adden\u00adti\u00adal. If data dis\u00adc\u00adlo\u00adsed to us in con\u00adnec\u00adtion with the order and not to dis\u00adc\u00adlo\u00adse such infor\u00adma\u00adti\u00adon or data to third par\u00adties. This obli\u00adga\u00adti\u00adon does not app\u00adly to obvious or gene\u00adral\u00adly known facts who\u00adse dis\u00adclo\u00adsure to third par\u00adties is neces\u00adsa\u00adry for the per\u00adfor\u00admance of the con\u00adtract by us and to employees working for us. It also does not app\u00adly inso\u00adfar as it is dis\u00adc\u00adlo\u00adsed in the con\u00adtext of legal pro\u00adcee\u00addings or for the enforce\u00adment or defen\u00adse of claims ari\u00adsing from the con\u00adtrac\u00adtu\u00adal rela\u00adti\u00adonship. <\/span>The pro\u00advi\u00adsi\u00adons of the Trade Secrets Pro\u00adtec\u00adtion Act (GeschGehG) shall remain unaf\u00adfec\u00adted. <\/span>We are aut\u00adho\u00adri\u00adzed to pro\u00adcess the per\u00adso\u00adnal data ent\u00adrus\u00adted to us for the pur\u00adpo\u00adse of the order in com\u00adpli\u00adance with the rele\u00advant data pro\u00adtec\u00adtion pro\u00advi\u00adsi\u00adons.
<\/span>2. The cus\u00adto\u00admer may only trans\u00admit to us tho\u00adse infor\u00adma\u00adti\u00adon, docu\u00adments and data which he and who\u00adse dis\u00adclo\u00adsure to us does not vio\u00adla\u00adte the rele\u00advant data pro\u00adtec\u00adtion pro\u00advi\u00adsi\u00adons. The cli\u00adent shall indem\u00adni\u00adfy us against all claims of third par\u00adties based on a cul\u00adpa\u00adble cul\u00adpa\u00adble vio\u00adla\u00adti\u00adon of the obli\u00adga\u00adti\u00adons men\u00adtio\u00adned in point 3.<\/span><\/p>\n

\u00a7 5 Client\u2019s obli\u00adga\u00adti\u00adons to cooperate<\/strong><\/span><\/p>\n

1. The cli\u00adent is obli\u00adged to crea\u00adte in his working area all neces\u00adsa\u00adry con\u00addi\u00adti\u00adons for the pro\u00adper exe\u00adcu\u00adti\u00adon of the order; in par\u00adti\u00adcu\u00adlar, he must make available to us in a time\u00adly and com\u00adple\u00adte man\u00adner all docu\u00adments and infor\u00adma\u00adti\u00adon neces\u00adsa\u00adry or important for the exe\u00adcu\u00adti\u00adon of the order. At our request, the cus\u00adto\u00admer shall con\u00adfirm in wri\u00adting or in text form the cor\u00adrect\u00adness and com\u00adple\u00adten\u00adess of the docu\u00adments sub\u00admit\u00adted by him as well as his infor\u00adma\u00adti\u00adon and oral statements.<\/span><\/p>\n

\u00a7 6 Remu\u00adne\u00adra\u00adti\u00adon; Terms of Pay\u00adment; Settlement<\/strong><\/span><\/p>\n

1. The remu\u00adne\u00adra\u00adti\u00adon for our ser\u00advices shall be cal\u00adcu\u00adla\u00adted accor\u00adding to the time spent on the acti\u00advi\u00adty (time allo\u00adwan\u00adce) or agreed in wri\u00adting as a fixed pri\u00adce. A fee based on the degree of suc\u00adcess or only in the suc\u00adcess or only in the case of suc\u00adcess sepa\u00adra\u00adte\u00adly must be agreed upon under an agree\u00adment on which the order is based. Unless other\u00adwi\u00adse agreed, we are entit\u00adled to reim\u00adbur\u00adse\u00adment of expen\u00adses in addi\u00adti\u00adon to the fee. The details of the method of pay\u00adment are included in the con\u00adtract. 2. The con\u00adtract shall app\u00adly.
2. If the con\u00adsul\u00adtancy lasts lon\u00adger than 6 months, we are entit\u00adled after the end of this peri\u00adod to pay.
<\/span>3. A increase in the abo\u00adve sen\u00adse is excluded if the increase in cos\u00adts for indi\u00advi\u00addu\u00adal or all of the abo\u00adve fac\u00adtors is off\u00adset by a decrease in cos\u00adts for other of the abo\u00adve fac\u00adtors rela\u00adti\u00adve to the total cost bur\u00adden. The fac\u00adtors in rela\u00adti\u00adon to the total cost bur\u00adden of sup\u00adp\u00adly (cost off\u00adset\u00adting). If one of the abo\u00adve cost fac\u00adtors is redu\u00adced wit\u00adhout the cost reduc\u00adtion increase in other of the abo\u00adve cost fac\u00adtors, the cost reduc\u00adtion shall be pas\u00adsed on to the cus\u00adto\u00admer in the form of a pri\u00adce reduc\u00adtion. <\/span>If the new fee is 20% or more abo\u00adve the ori\u00adgi\u00adnal net fee as a result of the exer\u00adcise of our afo\u00adre\u00admen\u00adtio\u00adned pri\u00adce adjus\u00adt\u00adment right, the cli\u00adent shall be entit\u00adled to ter\u00admi\u00adna\u00adte the con\u00adsul\u00adting agree\u00adment wit\u00adhout noti\u00adce. Howe\u00adver, he may only assert this right imme\u00addia\u00adte\u00adly\u00adim\u00adme\u00addia\u00adte\u00adly upon noti\u00adfi\u00adca\u00adti\u00adon of the increased pri\u00adce. 3.

<\/span>4. mul\u00adti\u00adple cli\u00adents (natu\u00adral per\u00adsons and\/or legal enti\u00adties) are joint\u00adly and seve\u00adr\u00adal\u00adly lia\u00adble.
<\/span>5. Set-off against our claims for remu\u00adne\u00adra\u00adti\u00adon and expen\u00adses is per\u00admit\u00adted only in the case of undis\u00adpu\u00adted claims, legal\u00adly estab\u00adlished claims. \u00a7 215 BGB (set-off despi\u00adte sta\u00adtu\u00adte of limi\u00adta\u00adti\u00adons). Uncontested.<\/span><\/p>\n

\u00a7 7 Exclu\u00adsi\u00adon and limi\u00adta\u00adti\u00adon of liability<\/strong><\/span><\/p>\n

1. Our lia\u00adbi\u00adli\u00adty to the cus\u00adto\u00admer shall be deter\u00admi\u00adned in accordance with sta\u00adtu\u00adto\u00adry pro\u00advi\u00adsi\u00adons, unless other\u00adwi\u00adse pro\u00advi\u00added in the fol\u00adlo\u00adwing clau\u00adses.
2. sub\u00adject to the fol\u00adlo\u00adwing excep\u00adti\u00adons, we shall not be lia\u00adble, in par\u00adti\u00adcu\u00adlar not for claims by the cus\u00adto\u00admer for claims for dama\u00adges or reim\u00adbur\u00adse\u00adment of expen\u00adses \u2013 regard\u00adless of the legal basis \u2013 in case of in case of breach of obli\u00adga\u00adti\u00adons ari\u00adsing from the con\u00adtrac\u00adtu\u00adal obli\u00adga\u00adti\u00adon.
<\/span>3. The abo\u00adve exclu\u00adsi\u00adon of lia\u00adbi\u00adli\u00adty accor\u00adding to clau\u00adse (2) (<\/span>Gene\u00adral Terms and Con\u00addi\u00adti\u00adons of Return Manage\u00adment GmbH Sta\u00adtus 7\/2024) <\/span>shall not app\u00adly for:
<\/span>(a) for our own willful or gross\u00adly negli\u00adgent breach of duty and willful or gross\u00adly negli\u00adgent breach of duty by our legal repre\u00adsen\u00adta\u00adti\u00adves or vica\u00adrious agents;
<\/span>(b) for breach of mate\u00adri\u00adal con\u00adtrac\u00adtu\u00adal obli\u00adga\u00adti\u00adons <\/span>who\u00adse per\u00adfor\u00admance cha\u00adrac\u00adte\u00adri\u00adzes the con\u00adtract and on which the cus\u00adto\u00admer may rely\u201c;
<\/span>c) in case of dama\u00adge to body, life and health also by our legal repre\u00adsen\u00adta\u00adti\u00adves or vica\u00adrious agents;
<\/span>d) in case of default, inso\u00adfar as a fixed date of deli\u00advery and\/or fixed date of per\u00adfor\u00admance was <\/span>was agreed upon;
<\/span>e) inso\u00adfar as we have given a gua\u00adran\u00adtee for the qua\u00adli\u00adty of a good or the exis\u00adtence of a per\u00adfor\u00admance, or have assu\u00admed a pro\u00adcu\u00adre\u00adment risk within the mea\u00adning of \u00a7 276 BGB;
<\/span>f) in case of legal lia\u00adbi\u00adli\u00adty, in par\u00adti\u00adcu\u00adlar in accordance with the Pro\u00adduct Lia\u00adbi\u00adli\u00adty Act. 4.
<\/span>4. If only slight negli\u00adgence is alle\u00adged against us or our vica\u00adrious agents and not a case of (3), er lit. c), e) and f), we shall only be lia\u00adble for con\u00adtract-typi\u00adcal and fore\u00adseeable dama\u00adges even in the event of breach of essen\u00adti\u00adal con\u00adtrac\u00adtu\u00adal obli\u00adga\u00adti\u00adons. \u00a7 254 BGB (con\u00adtri\u00adbu\u00adto\u00adry negli\u00adgence remains unaf\u00adfec\u00adted). I<\/span>n the event that we or our vica\u00adrious agents are only guil\u00adty of slight negli\u00adgence and the\u00adre is no case of the abo\u00adve clau\u00adse (3), lit. c), e) and f), we shall only be lia\u00adble for the fore\u00adseeable dama\u00adge typi\u00adcal for the con\u00adtract, even in the event of a breach of essen\u00adti\u00adal con\u00adtrac\u00adtu\u00adal obli\u00adga\u00adti\u00adons. \u00a7 Sec\u00adtion 254 BGB (con\u00adtri\u00adbu\u00adto\u00adry negli\u00adgence remains unaf\u00adfec\u00adted).
<\/span>5. Our lia\u00adbi\u00adli\u00adty is limi\u00adt\u00aded to a maxi\u00admum amount of EUR 100,000 for each indi\u00advi\u00addu\u00adal case of dama\u00adge (an indi\u00advi\u00addu\u00adal case of dama\u00adge exists when a dama\u00adging event objec\u00adtively occurs).
